Hibiki Path Advisors (“we”, “us”, “our”) have petitioned the Tokyo District Court to appoint an inspector for the 54th Annual General Meeting of Shareholders (the “AGM”) of JAPAN PURE CHEMICAL CO., LTD. (“the Company”), and On June 13, 2025, the Tokyo District Court issued a final and binding decision to appoint an inspector for the AGM.
As you may be aware, we are conducting a public campaign and have submitted shareholder proposals to the Company. In response, the Company has issued its strong opposition in the “Notice Concerning the Opinion of the Board of Directors on the Shareholder Proposal.” This confirms that a deep and fundamental conflict exists between the Company’s management and us, the largest shareholder.
Under these circumstances, it is imperative that every single vote—whether cast by mail, by proxy, or in person at the AGM—be tabulated with the utmost accuracy and transparency. The risk of future disputes concerning the legitimacy and fairness of the Company’s procedures for convening and conducting the AGM, as well as the validity of its resolutions, cannot be dismissed. In light of these serious concerns, we have taken the step of filing a formal petition for the appointment of an independent inspector for the AGM to ensure its integrity.
Furthermore, when mailing the voting forms, the Company has been engaging in written communications targeted at shareholders with the clear intent to manipulate voting outcomes in favor of the current management and against us.
The company’s failure to sufficiently address our shareholder proposals and broader engagement efforts, while simultaneously seeking to solicit votes in favor of its own proposal through manipulation, is utterly disgraceful and represents a profound betrayal of the principles of honest and fair dialogue with shareholders.
We expect that the appointment of the inspector for the upcoming AGM will prevent arbitrary procedural practices that disproportionately reflect the Company’s own interests. We further anticipate that this will ensure the proper conduct of the AGM, including fair and appropriate proceedings that provide ample opportunities for meaningful dialogue with shareholders, thereby securing the overall integrity of the AGM.
We will be attending the AGM on June 20 and will speak directly to our fellow shareholders. We intend to make our position unequivocally clear and to ensure that all shareholders understand what is truly at stake for the future of the Company.
